NON-BROKERED PRIVATE PLACEMENT ANNOUNCED
DRILL PROGRAMS PLANNED FOR COPPER-GOLD AND GOLD PROSPECTS ADJOINING LUMINA COPPER'S TACA TACA Cu-Au-Mo DEPOSIT

Cascadero Copper Corporation (the "Company") is pleased to announce a non-brokered Private Placement of up to 20 million Units for total proceeds of up to $2,000,000. The Common Share Units are priced at $0.10 per Unit. Each Common Share Unit is comprised of One Common Share of Cascadero Copper Corporation and One Common Share Purchase Warrant. One Common Share Purchase Warrant is exercisable into One Warrant Purchase Share for a period of twenty-four (24) months at an exercise price of $0.12 per share. Minimum subscription is 50,000 Units. The Common Share Purchase Warrants are transferrable. The Units will bear a Legend that stipulates a 121-calendar day Hold Period from closing. The warrant is subject to an Accelerated Warrant Exercise Provision as described below.
In the event the trading price of the Common Shares on the TSX Venture Exchange (or such other stock exchange on which the Company's Common Shares are principally traded) closes at a closing price of $0.25 or greater per share for twenty (20) consecutive trading days in the period commencing one hundred and twenty-one calendar days (121) after closing, the Company may accelerate the Expiry Time of the Common Share Purchase Warrant to 4:00 p.m. (Vancouver, British Columbia Time) on the date which is thirty calendar days (30-days) after notice via a press release, which is disseminated in the public domain regarding the Accelerated Expiry Time.
Proceeds are primarily for drilling the Francisco II copper-gold prospect and for trenching, mapping, sampling and drilling the Sarita Este high-grade gold showing. Both properties adjoin Lumina Copper's 1.762 billion tonne Cu-Au-Mo porphyry deposit in the Taca Taca Mineral District.
The private placement is subject to regulatory approval and, in accordance with Exchange policies, finder and agent fees may be payable on a portion of the funds raised.
